Welcome to the Terms of Service for Juno Veterinary (these "Terms")

These Terms govern your use of and access to the websites, content, applications, communications, services, tools and features (collectively, the “Services”) offered or provided by Juno Veterinary Inc. ( “Juno Veterinary”, “we” or “us”). Please read these Terms carefully, as they include important information about your legal rights.

By signing up or using the Services, you are agreeing to these Terms. For purposes of these Terms, “you” and “your” means you as the user of the Services. Your acceptance of these Terms is a condition of use; if you do not agree to these Terms you are not authorized to use or receive the Services.

If current or potential Juno members have questions about the items below, you can refer to this page or contact our team. Terms and conditions will be updated as needed.

1. Who May Use the Services
You must be 18 years of age or older and reside in Canada, United States or any of its provinces, state or territories to use the Services.

2. Veterinary Services
Veterinary Services may only be provided by veterinarians licensed to practice in their jurisdiction of residence ("Veterinary Providers"). Any Services which are required to be provided by Veterinary Providers (“Veterinary Services”), such as telehealth services, are provided by Veterinary Providers.

Each province, state and territory of Canada and the United States has its own rules about who may provide Veterinary Services and the conditions for doing so. Depending on the rules in the province, state or territory in which you reside, Veterinary Providers may not be located in your province, state or territory when providing Veterinary Services to you. We display the jurisdiction in which Veterinary Providers are located when we connect you to them. In some cases, the information is available on our website. If you would like more information, please consult the regulator of which the Veterinary Provider is a member.Services include providing a technology platform to provide you with access to Veterinary Providers. While we facilitate access to Veterinary Services provided by Veterinary Providers, we are is not registered to provide Veterinary Providers and does not do so. Veterinary Providers are independent contractors who have chosen by us to provide Veterinary Services.

The relationship between you and any Veterinary Providers is a professional veterinarian-client-patient relationship to which we are not a party.

VETERINARY PROVIDERS ARE SOLELY RESPONSIBLE FOR THE VETERINARY SERVICES THAT THEY PROVIDE TO YOU, INCLUDING COMPLIANCE WITH STANDARDS OF CARE, RECORD-KEEPING AND OTHER PROFESSIONAL OBLIGATIONS AND COMPLIANCE WITH PRIVACY LAW.

No results can be guaranteed or assured in connection with Veterinary Services. Veterinary Providers may determine Veterinary Services are not appropriate, that they are not permitted to provide you with Veterinary Services and may elect not to provide Veterinary Services. Veterinary Providers also have the discretion to discontinue the provision of Veterinary Services to you at any time and for any reason.

You are responsible for providing the Veterinary Providers with the information that they advise is required in order to provide Veterinary Services. If you decline to provide that information, the Authorized Provider may not be able or willing to provide Veterinary Services.

3. User Accounts, Payment and Gift Cards
3.1 Creating and Safeguarding your Account. To use the Services, you will need to create a membership account with us (“Account”). You agree to provide us with accurate, complete and updated information for your Account. You can access, edit and update your Account directly by logging into the app and clicking on the corresponding tab. You are solely responsible for any activity on your Account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your Account. You must immediately notify us at support@junovet.com if you know or have any reason to suspect that your Account or password have been stolen, misappropriated or otherwise compromised, or in case of any actual or suspected unauthorized use of your Account.

3.2 Membership Payment. If you purchase a membership for our paid Services, you acknowledge that your membership plan has recurring payment features and you accept responsibility for all recurring payment obligations in accordance with these Terms. Failure to pay any fees or taxes owed by you will result in the termination of your access to the paid Services. You agree that (a) we may store and continue billing your payment method (e.g. credit card) to avoid interruption of the Services; and (b) we may calculate taxes payable by you based on the billing information that you provide us at the time of purchase. We reserve the right to change our membership plans and/ pricing for Services in any manner and at any time as we may determine in our sole and absolute discretion.

3.3 Membership Term, Early Cancellation and Refunds. The most up-to-date Juno membership is $169 per pet, per year. Taxes are additional on any prices displayed on our website, in promotional materials, in emails, online, or communicated by one of our staff members. All of our membership plans are for a duration of twelve (12) months. You agree that if you purchase a membership plan, you will be responsible for payment of membership fees in advance for the entirety of such 12 month period. All Juno membership fees are non-refundable and there are no credits for partially used periods. Memberships that are cancelled in the middle of the membership period will not have prorated billing, refunds, or other credits. Membership services have no cash value and may not be transferred, sold, traded, or exchanged. We reserve the right to change our membership and membership plans or adjust pricing for our services in any manner and at any time as we may determine in our sole discretion. We will provide you with reasonable advance notice of any price changes or changes to your membership plan. Any such changes will take effect upon the renewal of your membership plan.

3.4 Automatic Membership Plan Renewals and Non-Renewal Notice. You agree that if you purchase a membership plan, your membership plan will automatically renew annually (or, if different, at the membership period frequency referenced on your membership page), and your payment method will automatically be charged at the start of each new membership period for the fees and taxes applicable to that period. We will notify you by email at least seven (7) days prior to your scheduled membership plan renewal. In order to prevent the automatic renewal of your membership plan, you must notify us of your intent not to renew before the then current membership period expires by emailing us at hello@junovet.com, calling us at (647) 558-9191, or chat with us using the online chat function on our mobile app. Following any such non-renewal notice by you, you will continue to have access to the paid Services through to the end of your then current membership period, unless otherwise specified.

3.5 Cancellation, Rescheduling, and No-Show Fees. Changes to appointments or cancellations must be communicated at least 24 hours prior to your scheduled appointment. A late cancellation will incur a $50 fee, and a missed appointment will incur the full $129 fee. If you are more than 10 minutes late for a scheduled appointment, you will be asked to reschedule. To reschedule or cancel your appointment, visit the Juno app for the quickest and easiest result.  Surgery cancellations or changes must be communicated at least 72 hours before the scheduled surgery. A late cancellation or missed surgery appointment will result in a $250 fee. To reschedule or cancel your surgery appointment, call the clinic or visit the Juno app to chat with virtual care.

4. Product Orders
4.1 Product/Service Payment. The Service may permit you to purchase certain physical or digital products or services through the Service (“Products”). The Products may also include products or services of third parties that are offered on the Service. You acknowledge and agree that all information you provide with regards to a purchase of Products, including, without limitation, credit card, PayPal, or other payment information, is accurate, current and complete. You represent and warrant that you have the legal right to use the payment method you provide to us or our payment processor, including, without limitation, any credit card you provide when completing a transaction. We reserve the right, with or without prior notice and in our sole and complete discretion, to (a) discontinue or limit the available quantity of any Products, and (b) refuse to allow any user to purchase any Products or deliver such Products to a user or a user designated address. When you purchase Products, you (a) agree to pay the price for such Products as set forth in the Service, and all shipping and handling charges and all applicable taxes in connection with your purchase (the “Full Purchase Amount”), and (b) authorize us to charge your credit card or other payment method for the Full Purchase Amount. The Services may allow you to purchase Products and designate them to be delivered or provided at a future date. In such instance, you acknowledge and agree that we may charge your credit card or other payment method for the Full Purchase Amount on the date of purchase, rather than on the ultimate date of delivery or provision of the applicable Products. Unless otherwise noted, all currency references are in Canadian. Dollars. All fees and charges are payable in accordance with payment terms in effect at the time the fee or the charge becomes payable. Payment can be made by credit card, debit card, or through PayPal or other means that we may make available. Orders will not be processed until payment has been received in full, and any holds on your account by PayPal or any other payment processor are solely your responsibility.

4.2 Pricing One annual exam is included in every Juno membership. Follow-up exams and additional services are billed separately. Taxes are additional on any prices displayed on our website, promotional materials, emails, anywhere online, or communicated to you by one of our staff members, unless otherwise stated. Vet care costs may vary depending on your pet's size, breed, health, and age. Before any procedure, Juno staff will review treatment option estimates with you to ensure full price transparency. We reserve the right to adjust pricing for our services in any manner and at any time as we may determine at our sole discretion.

4.3 Promotional and Referral Code.
Juno Veterinary reserves the right to introduce special pricing incentives, exclusive membership rates, and various promotional offers, which may be extended solely at their discretion to specified and restricted user groups. These promotions are exclusively applicable to new memberships and cannot be retroactively applied to existing memberships. Each promotional offer is limited to one pet per owner and restricted to one per household, with no cash value or transferability of promotional credits. Unless otherwise stated, promotional offers expire 30 days from the date of issuance, but Juno Veterinary retains the right to extend promotions as per their discretion. Juno Veterinary also maintains the authority to modify these promotional offer terms at any time, and by using a promotional offer, you accept the relevant terms and conditions.

Furthermore, Juno Veterinary may issue Promotional Codes, referral codes, or similar coupons that enable discounts on future products or benefits related to their services, subject to additional terms set by Juno Veterinary. You agree that Promotional Codes must be used lawfully, as intended, without duplication, sale, or transfer unless expressly permitted by Juno Veterinary. Juno Veterinary reserves the right to disable or impose additional conditions on these codes at any time without liability, and they may only be used as per the specific terms established by Juno Veterinary. These codes are not redeemable for cash or other service-related credits or points and may expire before use.

4.4 Referral Program Qualified referrers and referred customers receive $50 in their Juno accounts to spend on Juno goods and services. A qualified referral occurs when:

1. The referrer shares Juno Veterinary via email, text, or any other communication means with a person who is not currently a Juno member.
2. The referred customer then signs up for an annual Juno membership and shares the name of their referrer.
3. When the referred customer has committed to a minimum of 1-year Juno membership, $50 will be allocated to both the referrer and referred.

If the referred customer does not share the name of their referrer, neither party will receive the $50 referral bonus. There is no limit to the number of people you can refer to Juno Veterinary. Juno Veterinary reserves the right to change or modify these referral program terms at any time and in our sole discretion.

4.5 No Delivery to Children. In furtherance of our policy of not collecting personal information from persons under the age of 13, you are not allowed to give Juno Veterinary the personal information of any persons under the age of 13 for delivery or shipping purposes or any other reason.

5. Privacy Policy
5.1 By using the Services, you consent to our collection, use, and disclosure of your personal information pursuant to our Privacy Policy, which is incorporated into these Terms. You are responsible for your compliance with all applicable privacy laws and covenant that all personal information provided to us is provided in compliance with all applicable laws.

6. Rights We Grant You
6.1 Restrictions On Your Use of the Services. You may not do any of the following, unless laws prohibit these restrictions or you have our written permission to do so:download, modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works from, or offer for sale any information contained on, or obtained from or through, the Services;use, reproduce or remove any copyright, trademark, trade names, slogan, logos, images, service marks or other proprietary notations displayed on or through the Services;exploit the Services for any commercial purpose, including without limitation communicating or facilitating any commercial advertisement or solicitation;use or access the Services in any way that adversely affects or could adversely affect the performance or function of the Services;transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature;reverse engineer any part of the Services;sell, offer for sale, transfer, or license any portion of the Services in any form to any third parties;use the Services for illegal, harassing, unethical, or disruptive purposes;violate any applicable laws; oruse the Services in any way not expressly permitted by these Terms.

6.2 Use of the App. You are responsible for providing the mobile device, wireless service plan, software, Internet connections and/or other equipment or services that you need to download, install and use the App or the Services. We do not guarantee that the App or the Services can be accessed and used on any particular device or with any particular service plan. We do not guarantee that the App or the Services will be available in, or that orders for products can be placed from, any particular geographic location. As part of the Services and to update you regarding the status of deliveries, you may receive push notifications, local client notifications, text messages, picture messages, alerts, emails or other types of messages directly sent to you outside or inside the App (“Push Messages”). You acknowledge that, when you use the App or the Services, your wireless service provider may charge you fees for data, text messaging and/or other wireless access, including in connection with Push Messages. You have control over the Push Messages settings, and can opt in or out of these Push Messages through the Services or through your mobile device's operating system (with the possible exception of infrequent, important service announcements and administrative messages). Please check with your wireless service provider to determine what fees apply to your access to and use of the App or the Services, including your receipt of Push Messages from Juno Veterinary. You are solely responsible for any fee, cost or expense that you incur to download, install and/or use the App or the Services on your mobile device, including for your receipt of push messages from Juno Veterinary.

6.3 Mobile Software from the Apple App Store. The following terms and conditions apply to you only if you are using the App from the Apple App Store. To the extent the other terms and conditions of these Terms are less restrictive than, or otherwise conflict with, the terms and conditions of this paragraph, the more restrictive or conflicting terms and conditions in this paragraph apply, but solely with respect to the App from the Apple App Store. You acknowledge and agree that these Terms are solely between you and Juno Veterinary, not Apple, and that Apple has no responsibility for the App or content thereof. Your use of the App must comply with the App Store Terms of Use. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms. You and Juno Veterinary acknowledge that Apple is not responsible for addressing any claims of yours or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (a) product liability claims, (b) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection or similar legislation. You and Juno Veterinary acknowledge that, in the event of any third party claim that the App or your possession and use of that App infringes that third party's intellectual property rights, Juno Veterinary, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms. You must comply with applicable third party terms of agreement when using the App. You and Juno Veterinary acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these Term as they relate to your license of the App, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.

7. Intellectual Property
7.1 All right, title, and interest, including all intellectual property rights, in and to the Services are, and will be, owned solely and exclusively by us. Except for the limited rights and licenses expressly provided in these Terms nothing will be deemed or construed or implied to, assign, transfer or convey to or vest in you any title, rights, or interest in or to any intellectual property, including in or to the Services. All rights to access and use the Services will terminate on any termination of these Terms. Juno Veterinary reserves all rights not expressly granted to you in these Terms.

7.2 Subject to the limited licenses granted by you to us under these Terms, Juno Veterinary acknowledges and agrees that all right, title and interest, including all intellectual property rights, in and to any data or materials made available by you to us in the course of your use of the Services including any personal health information you provide us (“Your Content”) are and will be owned solely and exclusively by you.

7.3 You grant to us an irrevocable, perpetual, transferable, worldwide, unrestricted, fully paid up, royalty free, non-exclusive right and license access, reproduce, store, evaluate, transmit, display, and otherwise use all Your Content (in whole or in part, as is or as may be edited) and any materials based upon or derived from Your Content for the purpose of facilitating your access to and use of the Services. You waive all moral rights (and all other rights of a like or similar nature) that you may have in the Your Content in favour of us.

7.4 Ownership of Trademarks. The Juno Veterinary name, the Juno Veterinary logo and all related names, logos, product and service names, designs and slogans are trademarks of the Juno Veterinary or its affiliates or licensors. Other names, logos, product and service names, designs and slogans that appear on the Services are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

7.5 To the extent that you provide us with any suggestions, ideas, enhancement requests, recommendations, or feedback regarding the Services (Feedback”) we will be free to use, disclose, commercialize, license, and exploit any Feedback without any restriction or obligation to you. You grant to Juno Veterinary a perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, license to access, reproduce, store, evaluate, transmit, display, and otherwise use, Feedback.

8. Third Party Services and Materials
8.1 Use of Third Party Materials in the Services. Certain Services may display, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party websites. By using the Services, you acknowledge and agree that we are not responsible for examining or evaluating the content, accuracy, completeness, availability, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or websites. We do not warrant or endorse and do not assume and will not have any liability or responsibility to you or any other person for any third-party Services, Third Party Materials or websites, or for any other materials, products, or services of third parties. Third Party Materials and links to other websites are provided solely as a convenience to you.

9. Disclaimers, Limitations of Liability and Indemnification
9.1 Disclaimers. Your access to and use of the Services are at your own risk. You understand and agree that the Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, Juno Veterinary, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners and licensors (the “Juno Veterinary Entities”) DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. The Juno Veterinary Entities make no warranty or representation and disclaim all responsibility and liability for: (a) the completeness, accuracy, availability, timeliness, security or reliability of the Services; (b) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services; (c) whether the Services will meet your requirements or be available on an uninterrupted, secure or error-free basis; and (e) the deletion of, or the failure to store or transmit, communications maintained by the Services. No advice or information, whether oral or written, obtained from the Juno Veterinary Entities or through the Services, will create any warranty or representation not expressly made herein.

9.2 Limitations of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, YOU AGREE THAT IN NO EVENT WILL THE JUNO VETERINARY ENTITIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS, BUSINESS INTERRUPTION OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER UNDER THESE TERMS OR OTHERWISE ARISING IN ANY WAY IN CONNECTION WITH THE SERVICES OR PERFORMANCE OR NON-PERFORMANCE THEREOF AND WHETHER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) EVEN IF THE JUNO VETERINARY ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE JUNO VETERINARY ENTITIES' AGGREGATE LIABILITY TO YOU OR ANY PARTY FOR ANY DAMAGES FINALLY AWARDED SHALL NOT EXCEED THE GREATER OF THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00), OR THE AMOUNT YOU PAID THE JUNO VETERINARY ENTITIES, IF ANY, FOR THE SERVICES (OR PRODUCTS PURCHASED ON THE SERVICES) IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9.3 Indemnification. By entering into these Terms and accessing or using the Services, you agree that you shall defend, indemnify and hold the Juno Veterinary Entities harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) incurred by the Juno Veterinary Entities arising out of or in connection with: (a) your violation or breach of any term of these Terms or any applicable law; (b) your violation of any rights of any third party; (c) your access to or use of the Services; (d) Your Content, or (e) your negligence or wilful misconduct.

9.4 No action arising out of these Terms may be brought by you more than one year after the date on which the cause of action has accrued.

10. Additional Provisions
10.1 These Terms will become effective at the time you accept these Terms and will apply for the duration of time that you receive Services, unless earlier terminated by either party as permitted by these Terms.

10.2 Updating These Terms. We may modify these Terms from time to time in which case we will update the “Last Revised” date at the top of these Terms. If we make changes that are material, we will use reasonable efforts to attempt to notify you, such as by e-mail and/or by placing a prominent notice on the first page of the Juno Veterinary website. However, it is your sole responsibility to review these Terms from time to time to view any such changes. The updated Terms will be effective as of the time of posting, or such later date as may be specified in the updated Terms. Your continued access or use of the Services after the modifications have become effective will be deemed your acceptance of the modified Terms. We reserve the right to make changes to the Services at any time in our sole discretion without notice.

10.3 Termination of License and Your Account. We reserve the right to suspend or terminate these Terms, and your access to and use of the Services, at any time and for any reason with or without prior notice or liability to you. Upon termination of these Terms, you must immediately stop all use of the Services. Termination of these Terms will not affect any party’s accrued rights or liabilities; all payment obligations that have accrued prior to the termination of these Terms shall survive such termination. We may, but will have no obligation, to maintain Your Content following termination of these Terms; we will not be responsible for your inability to access any of Your Content after termination of these Terms of Use

10.4 You are solely responsible for complying with all applicable laws in connection to your use of the Services. The Services may be subject to the import and export controls laws and regulations of Canada, the United States, and any country in which the Services are created, transmitted, provided, or used. You agree that you shall comply with, and will be solely responsible for complying with, all such laws.

10.5 Currency. Unless otherwise specified, all references to money amounts are in Canadian dollars.

10.6 Miscellaneous. If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms and the licenses granted hereunder may be assigned by Juno Veterinary but may not be assigned by you without the prior express written consent of Juno Veterinary. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for reference only and shall not be read to have any legal effect. These Terms shall be interpreted in accordance with and governed by the laws of the Province of Ontario, Canada, without regard to any conflict of law principles which would cause the application of any other law. The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, and any party bringing a legal action or proceeding against any other party arising out of or relating to these Terms shall bring such legal action or proceeding in the courts of the Province of Ontario, Canada. These Terms shall be binding upon and shall enure to the benefit of and be enforceable by each of the parties hereto, their respective successors and permitted assigns. You may not assign, delegate or transfer all or any part of the Terms without our prior consent. We may assign these Terms without your consent at any time. It is the express wish of the parties hereto that the Terms be drawn up in English. La volonté expresse des parties aux présentes est que ce “Terms” soit rédigé en anglais.
